A significant portion of our practice is devoted to general corporate and tax planning.  This also involves other business entities such as limited liability companies, S corporations, limited partnerships and the like.  Our work ranges from the basic incorporation of a new business, annual minutes, by-laws, and buy-sell agreements, through sophisticated transactions such as Section 351 spin-offs, corporate reorganizations, corporate mergers, and corporate liquidations.
